Assignment Details

We are looking for a Consultant-Company Secretary to ensure adherence to corporate governance and regulatory frameworks under various applicable laws. The ideal candidate will be responsible for handling secretarial functions, statutory filings, regulatory compliance, and reporting for stock exchanges, ROC, and SEBI, among others.

 

Key Responsibilities:

  • Ensure compliance with the Companies Act, 2013 and its associated rules and regulations.
  • Prepare agenda, minutes, and related documents for Board and Committee meetings.
  • Handle filings and disclosures with NSE, BSE, ROC, and other relevant regulatory authorities.
  • Ensure adherence to:
    • The Securities Contracts (Regulation) Act, 1956 (SCRA)
    • The Depositories Act, 1996 and its regulations
    • Foreign Exchange Management Act, 1999 (FEMA) concerning FDI, ODI, and ECB compliance
    • SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011
    • SEBI (Prohibition of Insider Trading) Regulations, 2015
    • SEBI (Registrars to an Issue and Share Transfer Agents) Regulations, 1993
    • SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015
  • Monitor compliance with secretarial standards issued by the Institute of Company Secretaries of India (ICSI).
  • Maintain accurate records, ensure regulatory reporting, and support internal audits related to compliance.

Skills Required

Required Skills & Qualifications:

  • Qualified Company Secretary (CS) with 3-5 years of relevant experience.
  • Strong knowledge of corporate laws, SEBI regulations, FEMA, and secretarial compliance.
  • Experience in filings, regulatory submissions, and stock exchange compliance (NSE/BSE/ROC).
  • Excellent documentation, communication, and stakeholder management skills.
  • Proficiency in handling secretarial audits and board governance practices.

Preferred Qualifications:

  • Prior experience in corporate governance, regulatory compliance, and SEBI-related filings.
  • Exposure to hybrid working environments and ability to work independently.
